Terms of Service

01 Acceptance of Terms

These Terms constitute a legally binding agreement between you (or the organisation you represent) and Vaired Technologies Private Limited, a company incorporated in India ("Vaired AI", "we", "us", "our").

If you are using Vaired AI on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

02 Eligibility

To use Vaired AI, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract in your jurisdiction
• Not be prohibited from using our services under applicable laws
• Not have had a previous account terminated for violation of these Terms

Our services are intended for business and professional use. Vaired AI is not directed at consumers in a personal capacity and is not designed for use by individuals under 18 years of age.

By creating an account, you represent and warrant that you meet all eligibility requirements above. This applies to use through our web platform, mobile applications, API, and any integrations.

03 Your Account

3.1 Account Creation

You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the accuracy of this information.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@vaired.com if you suspect unauthorised access to your account.

We are not liable for any loss or damage arising from unauthorised access to your account resulting from your failure to protect your credentials.

3.3 One Account Per User

Each individual may maintain only one personal account. Creating multiple accounts to circumvent plan limits, credit restrictions, or suspension is prohibited and may result in termination of all associated accounts.

3.4 Team Accounts

Team members added to your organisation account must individually agree to these Terms. As the account administrator, you are responsible for ensuring compliance by all team members.

04 Description of Services

Vaired AI provides a marketing creative platform with the following core capabilities:

• Creative Generation: AI-powered image and visual generation from text prompts
• Image Enhancement: AI-driven editing and enhancement of existing images via natural language
• Brand Application: Automated application of brand assets, colors, and typography
• Engagement Scoring: Predictive AI scoring of creative assets (0–100) for advertising performance
• Ad Copy Generation: AI-generated headlines, descriptions, and CTAs optimised per platform
• Campaign Management: Multi-platform campaign creation, scheduling, and deployment
• Analytics & Insights: Real-time performance tracking across connected ad platforms

We reserve the right to add, modify, or discontinue any feature or aspect of the service at any time with reasonable notice to users.

4.1 Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. We are not liable for downtime caused by circumstances beyond our reasonable control including third-party AI provider outages, platform API changes, or force majeure events.

05 Acceptable Use

You agree to use Vaired AI only for lawful purposes and in compliance with these Terms. You agree not to:

• Use the platform to create, distribute, or promote illegal content
• Attempt to reverse engineer, decompile, or extract source code from our platform
• Use automated scripts or bots to access the platform in ways that circumvent usage limits
• Resell, sublicense, or white-label our services without written authorisation
• Attempt to gain unauthorised access to our systems, other user accounts, or data
• Use the platform in a way that overburdens or disrupts our infrastructure
• Circumvent, disable, or interfere with security features
• Misrepresent your identity or affiliation when using the platform
• Use generated content in ways that violate third-party intellectual property rights
• Create multiple accounts to circumvent plan limits or exploit free tier features

06 Prohibited Content

You must not use Vaired AI to create, generate, distribute, or promote content that:

6.1 Illegal Content

• Violates any applicable local, national, or international law or regulation
• Infringes the intellectual property rights of any third party
• Constitutes defamation, libel, or unlawful invasion of privacy
• Facilitates or promotes illegal activities

6.2 Harmful Content

• Sexually explicit or pornographic material
• Content depicting or promoting violence, self-harm, or abuse
• Content targeting, exploiting, or endangering minors in any way
• Content that promotes terrorism, extremism, or hate based on race, religion, gender, sexual orientation, disability, or nationality
• Content designed to harass, bully, or intimidate individuals

6.3 Deceptive Content

• Deepfakes or synthetic media designed to deceive or defraud
• False advertising or misleading claims about products or services
• Impersonation of real individuals, brands, or organisations without authorisation
• Political disinformation or synthetic media intended to manipulate elections
• AI-generated content presented as human-created where disclosure is legally required

6.4 Platform Policy Violations

All ad content created through Vaired AI and published to third-party platforms (Meta, LinkedIn, Google Ads, TikTok, YouTube, X/Twitter) must comply with the advertising policies of those respective platforms. You are solely responsible for ensuring your campaigns meet platform requirements.

07 Third-Party Platform Integration Rules

When you connect Vaired AI to third-party advertising platforms, additional rules apply:

7.1 Meta (Facebook & Instagram)

Use of Meta integrations is subject to Meta's Platform Terms, Advertising Policies, and Community Standards. You must have the legal right to run ads to your target audience. You are solely responsible for compliance with Meta's policies including special ad categories (housing, employment, credit, social issues).

7.2 Google Ads

Use of Google Ads integration is subject to Google's Advertising Policies and Terms of Service. You are responsible for compliance with all Google policies including restricted content categories.

7.3 LinkedIn

Use of LinkedIn integration is subject to LinkedIn's Advertising Policies and User Agreement. Professional and B2B content standards apply.

7.4 TikTok

Use of TikTok integration is subject to TikTok's Advertising Policies and Community Guidelines. You must comply with age-appropriate content requirements.

7.5 YouTube & X/Twitter

Use of YouTube and X/Twitter integrations is subject to their respective advertising policies, community guidelines, and terms of service.

7.6 General

Vaired AI does not manage your ad spend or billing with any third-party platform. You are solely responsible for the costs incurred on your connected ad platform accounts. We are not liable for any charges, penalties, or account suspensions imposed by third-party platforms.

08 Intellectual Property

8.1 Our Platform

Vaired AI and all its components — including but not limited to software, design, trademarks, logos, brand assets, and documentation — are owned by or licensed to Vaired Technologies Private Limited and are protected by Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your business purposes in accordance with these Terms.

8.2 Feedback

If you provide feedback, suggestions, or ideas about our services, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without compensation to you.

09 Your Content & Data

9.1 Ownership

You retain all ownership rights to content you upload to Vaired AI — including brand assets, images, and campaign materials ("Your Content").

9.2 Licence to Us

By uploading or submitting content to Vaired AI, you grant us a limited, non-exclusive, worldwide licence to use, process, store, and transmit Your Content solely for the purpose of providing our services to you. We do not claim ownership of Your Content.

9.3 Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to all content you upload
• Your content does not infringe the intellectual property rights of any third party
• Your content does not violate any applicable law or these Terms
• You have obtained all necessary consents for any personal data of third parties included in your content

10 AI-Generated Content

10.1 Ownership of Generated Output

Subject to applicable law and these Terms, creative assets generated by Vaired AI in response to your prompts and inputs are considered your work product. However, AI-generated content may not qualify for copyright protection in all jurisdictions, and you should seek independent legal advice if copyright is material to your use case.

10.2 No Guarantee of Uniqueness

AI-generated images and copy are not guaranteed to be unique. Similar outputs may be generated for other users using similar prompts. We do not guarantee that generated content will be free from similarity to existing third-party works.

10.3 Your Responsibility for Generated Content

You are solely responsible for reviewing AI-generated content before use and ensuring it complies with all applicable laws, platform policies, and third-party intellectual property rights. Vaired AI does not review generated content for legal compliance.

10.4 Engagement Score Disclaimers

Engagement scores are AI-generated predictions and do not constitute a guarantee of advertising performance. Actual results may vary significantly. Scores are provided as guidance only and should not be relied upon as the sole basis for advertising spend decisions.

10.5 Disclosure of AI Generation

Where laws or platform policies require disclosure that content was AI-generated, you are responsible for making such disclosures. Vaired AI does not automatically add AI disclosure labels to published content.

11 Credits, Plans & Billing

11.1 Plans & Pricing

Vaired AI offers subscription plans as described on our pricing page. Plan features, credit allocations, and pricing are subject to change with 30 days' notice to existing subscribers.

11.2 AI Credits

AI credits are consumed when you perform AI-powered actions on the platform. Credits are non-refundable once consumed. Monthly credits do not carry over to the following month unless your plan explicitly includes rollover. We reserve the right to adjust credit costs per action with 30 days' notice.

11.3 Billing

Subscription fees are billed in advance on a monthly or annual basis as selected. Payment is due at the start of each billing period. Failure to pay may result in suspension of your account.

11.4 Refunds

We do not offer refunds for partial months of service or unused credits, except where required by applicable consumer protection law or at our sole discretion in exceptional circumstances. Annual plan refunds may be issued on a pro-rated basis within 14 days of payment if you have not materially used the service.

11.5 Free Plan

The free plan is subject to usage limits as described on the pricing page. We reserve the right to modify or discontinue the free plan at any time with reasonable notice.

11.6 Taxes

Prices displayed may be exclusive of applicable taxes including GST. You are responsible for all applicable taxes in your jurisdiction.

12 Suspension & Termination

12.1 Termination by You

You may cancel your account at any time through your account settings or by contacting us at support@vaired.com. Cancellation takes effect at the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You breach these Terms or our Acceptable Use Policy
• You generate or attempt to generate prohibited content
• You engage in fraudulent activity or abuse of the platform
• We are required to do so by law or court order
• Continuing to provide services poses a risk to Vaired AI or other users

12.3 Effect of Termination

Upon termination, your right to access the platform ceases immediately. We will retain your data as described in our Privacy Policy. You remain liable for any outstanding charges. Provisions of these Terms that by their nature should survive termination will do so.

13 Disclaimers & Warranties

To the fullest extent permitted by applicable law, we disclaim all warranties including:

• That the platform will be uninterrupted, error-free, or secure
• That AI-generated content will be accurate, unique, or fit for any particular purpose
• That engagement scores will accurately predict advertising performance
• That the platform will meet your specific business requirements
• That defects will be corrected within any specific timeframe

We do not warrant that content generated through the platform will not infringe third-party intellectual property rights. You use AI-generated content at your own risk.

14 Limitation of Liability

To the maximum extent permitted by applicable law, Vaired Technologies Private Limited and its directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, business, or goodwill
• Costs of substitute services
• Any damages resulting from your reliance on AI-generated content or engagement scores
• Any damages resulting from third-party platform actions including account suspensions or policy violations
• Any damages exceeding the total fees paid by you to Vaired AI in the 12 months preceding the claim

These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the maximum extent permitted by law.

15 Indemnification

You agree to defend, indemnify, and hold harmless Vaired Technologies Private Limited and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the platform in violation of these Terms
• Content you upload, generate, or publish through the platform
• Your advertising campaigns and their content
• Your violation of any third-party rights including intellectual property rights
• Your violation of any applicable law or regulation
• Your violation of any third-party platform's policies

16 Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, and other applicable Indian legislation apply.

16.2 Dispute Resolution

In the event of any dispute arising from or relating to these Terms or your use of Vaired AI, the parties shall first attempt to resolve the dispute informally by contacting us at support@vaired.com. We will endeavour to respond within 15 business days.

16.3 Arbitration

If informal resolution is unsuccessful, any dispute shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted in English and the seat of arbitration shall be Hyderabad, India.

16.4 Jurisdiction

For any matters not subject to arbitration, you submit to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.

17 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Send an email notification to registered account holders
• Display a notice within the platform for 30 days

For material changes, we will provide at least 30 days' notice before the new Terms take effect. Your continued use of Vaired AI after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the platform and cancel your subscription before the effective date of the new Terms.
